Recital clause
Diaconia testifies to God’s love for his world, which we encounter in Jesus Christ. She wants to help her neighbor in physical, mental, spiritual and social hardship – she does not exclude anyone. It is carried out in word and deed. It is based on the Holy Scriptures.

The Bintumani D-SL – German-Sierra Leone Society sees itself on this basis as an association for ecumenical services in Germany and the Republic of Sierra Leone.

§ 1 Name, registered office, legal form  
The association is to be registered in the register of associations and bears the name
Bintumani D-SL – German-Sierra Leone Society e. V.
It is based in Berlin.
The fiscal year is the calendar year.
The association is a member of the Diakonischen Werkes Berlin~Brandenburg – innere Mission und Hilfswerk – e.V. and thus the EKD’s diaconal ministry.

§ 2 Association’s purpose 
The purpose of the association is in particular
– development support in the priority areas of basic health services, agriculture, craft trades, education and training and culture,
– the intensive cultivation of relations between personalities and institutions in Sierra Leone and Germany – in the sense of Christian-humanitarian cooperation,exchange of programmes and projects on a Christian basis.
It pursues exclusively and directly non-profit/participatory/church purposes within the meaning of the section “Tax-privileged purposes” of the tax code. 
The purpose of the statutes is realized in particular through the implementation of development aid projects, through counselling as well as educational and seminar work.

 § 3 selflessness
The association is selflessly active, it does not primarily pursue its own economic purposes. The Association’s funds may only be used for the purposes of the statutes.
The members do not receive any donations from the Association’s funds.
No person may be favoured by expenses that are not related to the purpose of the association or by disproportionately high remunerations.

§ 4 Members/Members/Members’ Meeting
Any natural person who is involved in the diaconal mission can become a member.
Members can also become members of legal entities as social service providers if they are associated with the diaconal ministry. 
The General Assembly of Members shall pass resolutions with a simple majority of the members present, unless the statutes stipulate otherwise.
Membership fees are charged. The General Assembly decides on the due date and amount.
In case of gross violations of the association’s rights, e. g. non-payment of the membership fee despite two reminders, the board can decide to expel a member.
Resolutions of the general meeting are recorded.
Membership ends with death, resignation or expulsion from the association. 
Withdrawal may only be effected at the end of a calendar year and must be notified in writing 3 months before the end of the year.

Tasks of the General Assembly

The general meeting decides on amendments to the statutes with a two-thirds majority of the members present.
– The general meeting receives the annual report and the auditors’ report
 -The general meeting decides on the budget of the association,
– The general meeting decides on the discharge of the executive committee.
– The General Assembly elects the Board of Directors for a term of 2 years.

§ 5 Board of directors

The Executive Board consists of at least three members. It shall appoint the first Presidency and the first and second deputies from among its members. 
Resolutions of the Board of Directors are passed by a simple majority; written minutes are drawn up.
The board remains in office until the election of a new board.
The Management Board is represented in and out of court by two members.
The Board of Directors shall invite the members to the General Assembly in writing at least once a year two weeks in advance.
The chairman of the association is in charge of the day-to-day business.
A member of the Management Board may receive appropriate remuneration for his work as a managing director.
If the entry in the register of associations or the recognition of non-profit status by the competent tax office is opposed to certain contents of the statutes, the executive board is entitled to carry out appropriate changes independently, if these do not contradict the material content of the statutes.
The Board of Directors decides on the admission of new members.

§ 6 Reversal/elimination of the tax-privileged purpose
If the association is dissolved or if tax-privileged purposes cease to exist, the assets of the association shall be transferred to Diakonisches Werk Berlin-Brandenburg e. V., which shall use them directly and exclusively for charitable, charitable or ecclesiastical purposes.

§ 7 Revision
The general meeting elects at least one auditor. The tasks are to audit the accounts and verify compliance with the Association’s decisions.
