Preamble
Deaconry testifies to God’s love for His world, which we encounter in Jesus Christ. She wants to help her neighbour in physical, emotional, spiritual and social need. It does not exclude anyone. It takes place in word and deed. It is founded in the Scriptures.
On this basis, the Bintumani D-SL – German-Sierra Leone Society sees itself as an association for ecumenical services in Germany and the Republic of Sierra Leone.
Section 1 Name, registered office, legal form
The association is to be entered in the register of associations and keeps the name
Bintumani D-SL – German-Sierra Leone Society e. V.
It is based in Berlin
Fiscal year is the calendar year
The association is a member of the Diakonisches Werk Berlin-Brandenburg – Innere Mission und Hilfswerk – e.V. and thus connected to the Diakonisches Werk of the EKD.
Section 2 Purpose of the Association
The purpose of the association is in particular to
– development-related support in the priority areas of basic health services, agriculture, crafts, education and training, and culture,
– the exchange of programmes and projects on a Christian basis
It pursues exclusively and directly charitable/charitable/church purposes within the meaning of the section “Tax-beneficiary purposes” of the Tax Code.
The purpose of the statutes is achieved in particular through the implementation of development aid projects, counselling and educational and seminar work.
Section 3 Selflessness
The association is selfless, it does not primarily pursue its own economic purposes. Funds of the association may only be used for the statutory purposes.
The members do not receive any donations from the funds of the association.
No person may be favoured by expenses which are alien to the purpose of the association or by disproportionately high remuneration.
Section 4 Members/General Assembly
A member can become any natural person who is connected to the diaconal mission.
Members may also become legal persons as carriers of social tasks if they are associated with the Deaconic Work.
The General Assembly takes decisions by a simple majority of the members present, with the other in the statutes a different majority.
Membership fees are charged. The due date and amount are decided by the General Assembly.
In the event of gross violations of the association’s obligations, e.g. non-payment of the membership fee despite a two-time reminder, the Board of Directors may decide to exclude a member.
Resolutions of the General Assembly are recorded.
Membership ends with death, resignation or exclusion from the association.
Withdrawal can only take place at the end of a calendar year and must be notified in writing 3 months before the end of the year.
Tasks of the General Assembly

The General Assembly decides on amendments to the Articles of Association by a two-thirds majority of the members present.

The General Assembly receives the annual report and the audit report of the auditors.

The general meeting decides on the association budget.

The General Assembly decides on the discharge of the Executive Board.

The General Assembly elects the Board of Directors every two years.
Section 5 Board of Directors
The Board of Directors consists of at least three members. It determines the 1st Presidency and the 1. and 2. Delegate from among its members.
Decisions of the Executive Board are taken by a simple majority. Written minutes will be drawn up.
The Board of Directors will remain in office until a new Board of Directors is elected.
The Board of Directors is represented by two members in court and out of court.
The Executive Board invites to the general meeting at least once a year two weeks in advance.
The 1st Chairman conducts the day-to-day business of the association
A member of the Board of Management may receive appropriate remuneration for his/her duties as Managing Director.
If certain articles of association are precluded by the registration in the register of associations or recognition of the non-profit by the competent tax office, the Board of Management shall be entitled to make such changes independently if these are not in line with the material salary. contradict the Articles of Association.
The Board of Directors decides on the admission of new members.
Section 6 Dissolution/elimination of the tax-deferred purpose
In the event of the dissolution of the association or the abolition of tax-deferred purposes, the assets of the association shall be paid to the association “Friends and Sponsors of the Peter-Lenné-Schule e.V.” which must use it directly and exclusively for charitable, charitable or ecclesiastical purposes.
Section 7 Revision
The General Assembly elects at least one auditor. The tasks are the auditing and verification of compliance with the association’s decisions.
